Terms of Use
1. Parties
These Terms govern access to The Agentic Org platform and its constituent products (MDG WMS, MDG UFCP, MDG FSP, and successor products) operated by Xtal 2000 S.a.s. ("Provider"). By signing in you confirm that you are an authorized user of a tenant organization ("Customer") that has entered into a subscription or evaluation agreement with the Provider, and you agree to use the service in accordance with these Terms.
2. Accounts and authentication
- Each user account is personal and may not be shared. Credentials and two-factor secrets are your responsibility.
- Customer administrators are responsible for provisioning, deprovisioning, and role assignment within their tenant.
- The Provider may suspend accounts on reasonable suspicion of compromise or abuse.
3. Acceptable use
You agree not to:
- Attempt to access data of other tenants or circumvent tenant isolation.
- Use the platform to process unlawful content, including content that violates the rights of third parties.
- Use agent reasoning to produce output that violates applicable law, including automated decisions that significantly affect individuals without appropriate human oversight (see GDPR Art. 22).
- Attempt to reverse-engineer, probe, or stress-test the platform without written authorization.
- Upload malware, spam, or content intended to disrupt the platform or other users.
4. Agentic behaviour and human oversight
The Agentic Org provides agents that can take actions within configured governance caps (Agentic Maturity Level, token budget, per-persona permissions, auto-approve thresholds). Customer is responsible for configuring these caps consistent with its own risk appetite and regulatory obligations, and for reviewing agent decisions via the Agent Decisions timeline.
Shadow mode and dry-run simulations are provided to enable safe validation before enabling actions. We recommend running any new Dynamic persona in shadow mode for 1–4 weeks before promoting to auto-approve.
5. Availability
We target high availability but do not commit to a specific SLA on evaluation tenants. Subscription tenants may request an SLA addendum. We may perform maintenance with reasonable notice.
6. Intellectual property
- The platform, its source code, documentation, and branding are owned by the Provider.
- Customer retains ownership of its data and any content produced by agents acting on that data.
- Customer grants the Provider a limited licence to process such data solely to operate the service.
7. Third-party AI providers
Agent reasoning uses external LLM providers (Anthropic, OpenAI, Google) selected by the Customer in Governance settings. The Customer acknowledges that LLM output is probabilistic, may contain errors, and must be reviewed before acting on high-impact recommendations. The Provider is not responsible for the factual accuracy of LLM-generated content.
8. Fees
Fees are specified in the commercial agreement or order form. Evaluation tenants are provided free of charge for a limited period. Token usage beyond the configured monthly budget is suspended rather than overbilled, to prevent surprise costs.
9. Termination
- Customer may terminate at any time from Admin settings. Data is retained for 30 days for export, then deleted.
- Provider may terminate for material breach of these Terms, with a 7-day cure period where reasonable.
- Sections 6, 10, and 11 survive termination.
10. Warranty disclaimer
The platform is provided "as is". The Provider disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded under applicable mandatory law.
11. Limitation of liability
To the extent permitted by law, total aggregate liability arising out of or related to these Terms is limited to the fees paid by Customer in the 12 months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, or consequential damages.
12. Governing law
These Terms are governed by the laws of Italy. Disputes are submitted to the exclusive jurisdiction of the courts of Milan, Italy, save for mandatory consumer-protection forums. Customers established outside the EEA may request a jurisdiction addendum compatible with their local legal regime.
13. Changes
We may update these Terms. When changes are material we bump the version and prompt you at next sign-in to review and accept. Your acceptance is recorded with timestamp, user identifier, and version.
